Terms of Service – LeadLex by Lead IP GmbH

Welcome to LeadLex, a CRM, prospecting and outreach platform operated by Lead IP GmbH (“Lead IP”, “we”, “us”, “our”) headquartered in Munich, Germany. These Terms of Service (“Terms”) govern your access to and use of LeadLex (the “Service”). By accessing or using the Service, you (“you” or “your”) agree to comply with these Terms. If you disagree with any part, please do not use the Service.

1. Definitions

“Account” means your subscription account on the Service.
“User Data” means all data, content, communications, and materials uploaded, submitted or stored through the Service.
“Order Form” is the document or agreement under which you subscribe to a plan.
“Data Processing Agreement” or “DPA” refers to our GDPR-compliant agreement under Art. 28 GDPR.
“Business Day” means Monday to Friday, excluding German public holidays.

2. Eligibility

You must be (i) a legal entities under §14 BGB (e.g. law firm), (ii) 18+, and (iii) authorized to enter this agreement.
Access is strictly for business or professional purposes.

3. Account Registration & Access

Full and accurate registration required.
You’re responsible for all activity under your Account and safeguarding credentials.
You’ll notify us immediately of any unauthorized access.

4. License & Access

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during the Term as defined by your Order Form.
All rights not expressly granted are retained by us.

5. Service Description & Third‑Party Integrations

The Service includes CRM functions, contact acquisition, email and call campaigns, analytics dashboards, and integrations.
We do not provide legal, regulatory, or marketing advice.
Third-party integrations (e.g. email providers): such connections are at your risk; compliance with third-party terms is your responsibility.

6. Pricing & Payment

Fees, billing cycles, payment methods, and renewal terms are specified in your Order Form.
All fees are exclusive of VAT and non-refundable.
Late payment may result in interest at 5% + base rate and suspension of access after 14 days.

7. Term & Termination

7.1 Term: As set out in your Order Form.
7.2 Termination by You: You may terminate with 30 days’ notice before renewal.
7.3 Termination by Us: We may suspend or terminate with immediate effect for breach, non-payment, or illegal use.
7.4 Effect of Termination: Upon termination all rights cease, and you remain responsible for any outstanding fees. We may delete or anonymize User Data 30 days after termination unless legally required otherwise.

8. Acceptable Use Policy

You must not:

Upload minors’ personal data;
Send spam or unsolicited communications;
Use Service for illegal, deceptive, or fraudulent activities;
Reverse-engineer or tamper with our systems;
Abuse monitoring or security features.

9. Data Protection & Privacy

9.1 Your Role: You’re solely responsible for compliance with GDPR, BDSG, ePrivacy, and other applicable laws. You ensure lawful grounds (e.g. consent, legitimate interest, preexisting relationship).

9.2 Our Role: We act solely as Data Processor per Art. 28 GDPR. A DPA governs this role.

9.3 Data Access: We do not access or process your User Data, except for support/fixes or legal requirements.

9.4 Security Measures: We use encryption (TLS), firewalls, access controls, logging, and maintain ISO 27001-like security.

9.5 Data Subject Rights: We will assist with data subject requests as far as the Service allows.

9.6 Breach Notification: In case of a personal data breach, we will notify you without undue delay.

10. Confidentiality

Both parties agree to treat all non-public information received as confidential.
Exceptions: public domain, prior knowledge, or legally required disclosure.
Protect confidential info with at least reasonable care.

11. Intellectual Property

We retain all IP rights in the Service – software, documentation, branding, technology.
You retain ownership of User Data and any content you upload.
License ends upon termination.

12. Warranties & Disclaimers

The Service is provided “as is” and “as available.”
We disclaim all implied warranties (merchantability, fitness for a particular purpose).
We do not warrant uninterrupted or error-free Service access.

13. Limitation of Liability

13.1 Unlimited Liability: for claims under German Product Liability Act, gross negligence, intent, bodily injury, or willful misconduct.
13.2 Limited Liability: for slight negligence, we’re liable only for breach of essential obligations and only up to the direct, foreseeable damage typical for this type of contract.
13.3 Excluded Damages: no liability for indirect damages, lost profits, lost data, or business interruption unless intent or gross negligence.

14. Indemnification

You indemnify us against third-party claims arising from your:
- Use of the Service,
- Violation of these Terms,
- Breach of applicable laws.
We will cooperate in defense at your cost; you must provide prompt notice and control defense.

15. Export Controls

You represent that you are not in a restricted region or using the Service for military/illegal ends. Any export restrictions under EU or German law apply.

16. Modification of Terms

We may amend these Terms from time to time.
Significant changes (e.g. liability, governing law, pricing) will be notified 30 days before becoming effective.
Continued use after the effective date constitutes acceptance.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of Germany (excl. UN Sales Convention).
Exclusive venue: Munich courts.

18. Miscellaneous

Severability: Invalidity of one clause does not affect the rest.
Assignment: You may not assign without our consent; we may assign to affiliates or in merger/sale.
Entire Agreement: These Terms, Order Form, DPA, and privacy policy constitute the entire agreement.
